These terms cover two things: using maxqiro.com, and hiring us to plan, write, refresh and measure content. If you only read part of them, read sections 7 to 12. They cover slots, approvals, money and notice.
1. Who we are

That address belongs to our registered agent. It's where legal notices go, not an office you can visit.
"We", "us" and "Maxqiro" mean Maxqiro LLC. "You" means the person or business using the site or hiring us. If you accept these terms for a business, you confirm you're allowed to bind it.
2. Using this website
What's on maxqiro.com, including prices, service descriptions and Insights articles, is general information. It isn't an offer we're bound to, and it isn't legal, tax or financial advice.
Please don't misuse the site: no automated form submissions, no attempts to break or overload it, and no copying our content to pass off as your own. You're welcome to quote or link to an article with credit.
3. The free tools
The sitemap decay scanner and the cadence planner are free and provided as they are. The scanner reads public sitemap dates; the planner works from what you type in. Both give a rough, illustrative first look. Neither is a quote, a guarantee or professional advice. A page with an old lastmod date can be perfectly fine, and only Search Console data shows real decay.
Only scan a domain you own or are authorized to test. By running a scan, you confirm that you are. Don't use the scanner to load someone else's server, to scan in bulk, or to get around its hourly limit. We may block connections that do.
4. How work is agreed
Cadence plans, standalone monthly services and content architecture projects start with a written proposal or Statement of Work (SOW). The SOW sets the services, fee, start date, initial term and anything specific to you, such as your CMS or the size of your decay watch. These terms apply to every SOW. If an SOW and these terms disagree, the signed SOW wins for that engagement, but only where it says so in writing.
Desk items (the fixed-price items at /desk/) are bought on their own pages, by card through Stripe or by invoice. The item page sets out the deliverables, the turnaround and what we need from you, and that page plus these terms is the agreement. Your payment or invoice request is an order. It becomes a contract when we send the kickoff email. If we can't take the order (for example, because of a conflict of interest, or because the work would mean writing near-duplicate pages), we'll tell you and refund the full amount within 10 business days.
The editorial review is a free 30-minute call and a short written note. It creates no obligation on either side.
5. The services
We provide content strategy and topic maps, SEO articles and guides, content refreshes and consolidation, content audits, expert-led articles, service and location pages, collection and product copy, content architecture and internal linking, and content measurement and distribution. Each engagement covers what its SOW or item page lists, nothing more.
CMS upload is included for WordPress, Shopify, Webflow and HubSpot, with editor access. Other platforms are quoted. Custom design and illustration are out of scope beyond simple graphics.
Work outside that scope is billed at $125 an hour, with a 1-hour minimum and then in 30-minute steps, and only after you approve it in writing (email is fine). We'll tell you before we start anything that would cost extra.
We may use subcontracted writers and editors bound by confidentiality. We stay responsible for their work.
6. How we write
People write the pieces. We may use AI tools to help with research and outlines. A person writes or rewrites, edits and fact-checks every piece we deliver. We don't hand over AI-only text, and we don't mass-generate pages. We only use AI tools under terms that don't let the provider train on what we send, and we never put your customers' personal information into them.
Facts, sources and quotes. Every piece gets an originality check. Statistics and claims are linked to their source. We don't invent statistics, quotes or reviews. An expert's quotes are published only once that expert has approved them.
What we won't do, even if asked: copy-paste city pages with the town name swapped, change a page's date without a real update, promise rankings, buy links, or write fake reviews. If a request would break Google's spam policies, we'll say so and suggest something that won't.
7. Cadence plans and slots

Each plan also includes what the pricing page and your SOW list for it, such as the month-1 topic map and 90-day calendar, the decay watch and the calls. Those don't use slots; the included expert interview articles do, at the rate set out below. There's no setup fee.
What a slot is
A slot is one unit of publishing work, done start to finish: brief, writing or rewriting, editing, originality check, on-page SEO, internal links in and out, image sourcing or simple graphics, CMS upload and a change-log entry. Different work uses different numbers of slots:

On Cadence 8 and 14, the expert interview articles your plan includes count as 1 slot each instead of 1½.
Using your slots
You can mix the work however you like within a month. We agree each month's mix with you on the shared calendar at least 30 days ahead, and you can swap pieces until we start them.
A slot counts as used once we start writing from a brief you've approved (or start rewriting a page we've agreed to refresh). If you drop a piece before that, the slot stays available.
Rollover
Slots you don't use in a month carry over to the next month only. Carried-over slots are used first. Any still unused at the end of that next month expire. Expired slots aren't refunded and have no cash value.
One exception: if slots go unused because of us, for example because we didn't deliver an approved piece on time, they don't expire. They stay available until used, and if your plan ends with any left, we refund them at your plan's per-slot rate.
Extra slots
If you want more in a month than your plan covers, we can add extra slots at the per-slot rate in the table above. We'll agree the pieces and get your OK in writing first, then add them to your next monthly invoice. Extra slots are bought for those pieces and don't roll over.
Changing plan
You can move to a different Cadence plan from the start of the next billing month, as long as you tell us by email at least 7 days before it begins. During the first 3 months you can move up but not down; a move down takes effect from month 4 at the earliest. Moving up doesn't restart the initial term. Slots carried over from your old plan move with you under the same rollover rule.

Each item's page lists the access or information we need. We ask for editor or viewer access, never passwords.

You choose the tier at checkout. At kickoff we count your indexable URLs from Search Console and your sitemap. If your site is in a lower tier than the one you paid for, we refund the difference. If it's in a higher tier, you choose: pay the difference, or we audit the URLs with the most clicks, up to your tier's limit. If your site has less than 16 months of Search Console data, we use what there is.
Starts, clocks and stalls
Work starts when we send the kickoff email. The turnaround clock starts at the point the table names (for example, when we get Search Console access or your approved brief) and counts business days. It pauses while we're waiting on you, and moves by the same amount.
If we still don't have what the item needs 30 days after the kickoff email, either of us can cancel it, and the refund for an item cancelled after work starts applies.
Content architecture projects (from $1,900, including up to 6 hours of implementation) aren't desk items. They're quoted after an editorial review and run under an SOW.
9. Briefs, approvals and revisions
Briefs first. Every new piece starts with a brief you see before we write.
5 business days to respond. When we send you something to approve (a calendar, a brief, a draft or a revised draft), you have 5 business days to approve it or send comments. If we don't hear from you by then, we treat it as approved. The piece then counts as delivered and its slot as used, and its revision rounds close.
Approved isn't published. We upload approved pieces to your CMS as unpublished drafts, unless you've told us in writing that we may publish them directly.
Some things always need a clear yes. Silence never counts as approval for publishing, unpublishing, deleting, merging or redirecting live pages, or changing your site's navigation. Those need your explicit OK; an email is enough. An expert's quotes need that expert's own approval.
Two revision rounds per piece. Every written piece (articles, refreshes, pages, collection and product copy, newsletter drafts) includes 2 revision rounds. A round is one set of comments, sent together, within the approved brief. A third round, or a new topic or angle after the brief is approved, is extra: billed by the hour or as a new slot, and we'll check with you first. Reports, topic maps and dashboards don't have revision rounds; we correct factual errors and anything missing from the item page.
Once a piece is approved, later changes count as a refresh (½ slot) or hourly work.
10. Invoicing and payment
All prices are in US dollars and exclude sales tax, VAT and similar taxes. We add tax only where the law requires it.
Cadence plans and standalone monthly services are invoiced monthly in advance, at the start of each billing month. You pay by bank transfer, ACH, or card through a Stripe-hosted invoice link. We don't store your card or charge it automatically. Each invoice is a separate payment you make.
Desk items are paid in full up front, either through Stripe Checkout or by invoice. With an invoice, work starts once it's paid.
Hourly work and extra slots go on your next invoice.
Due date. Invoices are due 14 days after the invoice date (net 14).
If you think an invoice is wrong, tell us in writing within 14 days of its date. Please pay the part you don't dispute on time; we won't charge a late fee on the disputed part while we sort it out in good faith.
Late payment
Overdue amounts carry a late fee of 1.5% per month or the maximum rate the law allows, whichever is lower, from the due date until paid.
If an invoice is more than 14 days overdue, we may pause work after giving you 5 business days' written notice. If it's more than 30 days overdue, we may end the engagement. Time spent paused for non-payment doesn't extend an initial term, doesn't count as your paused month, and fees for that time stay payable.
Price changes
We won't raise a price during an initial term. After that, we'll give you at least 30 days' notice by email, and a new price applies only from the start of a billing month.
11. Initial terms, pausing and cancelling
Every plan and monthly service starts with an initial term:

The rollover rule in section 7 also applies to the monthly pieces in Refresh Upkeep, Expert Articles and Distribution.
After the initial term, the engagement runs month to month until either of us ends it with 30 days' written notice. Email to office@maxqiro.com counts as written notice.
Giving notice during the initial term. You can give notice at any time. The engagement then ends on whichever comes later: the last day of the initial term, or 30 days after your notice.
Stopping early. If you want work to stop before the initial term ends, the monthly fee for each remaining month of the initial term stays payable, unless we agree in writing to waive it. We'll put it on one final invoice, due in 14 days.
The last month. If an engagement ends partway through a billing month, the final invoice covers the days up to the end date.
Pausing a Cadence plan
After your first 3 months, you can pause a Cadence plan for one whole billing month in any 12-month period, counted from the start of month 4. Tell us at least 14 days before that month begins.
- There's no invoice for the paused month.
- Your carried-over slots are frozen. They don't expire during the pause and pick up again afterwards under the normal rollover rule.
- Calls and the decay watch pause too.
- A pause you don't use doesn't carry over to the next 12 months.
- A pause can't stand in for any part of a 30-day notice period.
Pausing applies to Cadence plans, not to standalone monthly services.
If we end it
We can end a plan or monthly service on 30 days' written notice for any reason, or straight away if you seriously breach these terms or an SOW and don't fix it within 14 days of our notice, or under section 10 for non-payment. If we end it for any reason other than your breach or non-payment, you don't owe the rest of the initial term, we refund any prepaid month we won't deliver, and we refund any unused slots at your plan's per-slot rate.
Handover
Within 10 business days of the end date, we send you the working documents for work you've paid for (briefs, calendars, change logs, transcripts) and remove our access to your accounts. If you'd like us out sooner, just ask.

12. Credits
The decay-audit credit
If you buy a Content Decay Audit and then start a Cadence plan within 30 days, we take $500 off your plan's first monthly invoice.
- "Within 30 days" means the plan's first billing month begins no more than 30 days after the date you paid for the audit.
- It's $500 whichever URL tier you bought.
- It applies to Cadence 4, 8 and 14 only, not to standalone monthly services, hourly work or other desk items.
- It comes off the first month's invoice only. It can't be split across months, moved to a later invoice, transferred to another business, or exchanged for cash. It has no cash value.
- One per client. A business can receive it once.
- There's no code. We add it to the invoice ourselves. If we miss it, tell us and we'll correct the invoice.
- If the audit is refunded, the credit falls away. If it was already used, we add the $500 back to your next invoice.
13. Your accounts and your site
You own your site, your CMS, your Google Search Console and Google Analytics properties, the Looker Studio dashboards we build for you, your product data and every page we publish. Anything new we set up for you is created in your name, under your business.
We ask for editor or viewer access, never your passwords. You can remove our access at any time. If you do that during an engagement, it may stop us doing the work, but it doesn't end the engagement or the fees; to end it, give notice under section 11. When an engagement ends, we remove our own access.
Before bulk merges, redirects or deletions, we'll ask you to confirm you have a current backup of the site. Keeping backups is your responsibility.
Third-party costs. We don't buy ads or links for you, and we don't hold or mark up anyone else's charges. Our own research tools are on us. Paid plugins, paid data connectors and premium stock images are billed to you by their providers, and only after you've agreed to them.
14. What we need from you
- Timely access, information and approvals. If we're waiting on you, deadlines move by the same amount.
- Accurate facts. You're responsible for the details you give us: services, prices, product data, local details in the location questionnaire, and anything your expert says.
- A final check of regulated claims. If your content touches medical, legal, financial or safety topics, someone qualified on your side reviews it before it goes live.
- The rights to what you supply, such as images, logos and trademarks.
- If we draft newsletters for you, you send them from your own tool and you're responsible for having your subscribers' consent and following email laws such as CAN-SPAM and CASL.
- One person who can make decisions for your side, and time from your expert for interviews.
15. No guarantee of results
Search engines change their algorithms and policies regularly, and results depend on a lot of things outside our control — your market, your competitors, your budget, and your own site or offer included. We don't guarantee specific rankings, traffic, leads, conversions, or revenue.
We also can't make a search engine index a page, keep it indexed, or show the title and description we wrote. Scanner results, planner recommendations and any forecast are estimates, not promises. What we do commit to is doing the work the SOW or item page describes, carefully and on the agreed schedule.
16. Search engine changes
Google and other search engines can change their rules, ranking systems and how results look at any time. Those changes are outside our control. They aren't grounds for a refund of fees for work already done, though we'll help you respond within the scope you're paying for.
17. Ownership and copyright
You keep everything you had before working with us: your brand, content, data and accounts.
Once you've paid in full for the invoice that covers it, you own the work we make for you: articles, pages, refreshes, product copy, briefs, calendars, topic maps, reports and dashboards. We assign the copyright to you. Where a piece includes third-party material such as stock images or fonts, you get it under that provider's license.
You don't have to credit us. You can publish what we deliver under any byline, and we won't claim authorship.
We keep our own methods, templates, questionnaires, checklists and tools, and can reuse general know-how and non-confidential techniques for other clients. Where one of our templates sits inside something we deliver (a brief template, for example), you can use it for your own business, without time limit.
We won't use your name, logo or results in our marketing without your written permission.
18. Confidentiality
We each keep the other's non-public business information confidential and use it only for the engagement. That doesn't cover information that is already public, that the other side already had, that was independently developed, or that the law or a court requires to be disclosed (with notice to the other side where allowed). This lasts for 3 years after the engagement ends, and indefinitely for trade secrets and personal data.
19. Data protection
When our work involves personal information about your customers or site visitors, for example in your Google Analytics or CMS, we act as your processor (or service provider) and our Data Processing Addendum applies. It forms part of these terms for that engagement. We send it with the SOW. Our Privacy Policy explains how we handle the information you and your team give us directly.
20. Limit of liability
To the extent the law allows:
- Our total liability for all claims arising from an engagement or these terms is limited to the fees you paid us in the 3 months before the event that caused the claim.
- Neither of us is liable for indirect, incidental, special or consequential losses, or for lost profits, revenue, data or goodwill, even if warned they were possible.
Nothing in these terms limits liability that can't be limited by law, such as liability for fraud.
21. Your indemnity
You agree to cover our reasonable losses and costs, including legal fees, from third-party claims arising from content, facts, claims, data or instructions you supplied or approved, or from your breach of the law.
22. Things outside anyone's control
Neither of us is responsible for delays caused by events beyond reasonable control, such as hosting or CMS outages, natural disasters or internet failures. This doesn't excuse paying for work already done.
23. Notices and changes
Notices under these terms can be sent by email: to office@maxqiro.com for us, and to the address in your SOW or order for you. An email counts as received on the next business day after it's sent, unless the sender gets a delivery failure. A business day is Monday to Friday, US Eastern time, excluding US federal holidays.
We may update these terms. The new version applies from the date at the top of this page. A signed SOW stays on the version in force when it was signed unless we both agree otherwise in writing.
24. Disputes and governing law
If something goes wrong, tell us in writing and we'll try to resolve it in good faith. Neither of us will start a court case until at least 30 days after that written notice, unless we need urgent relief to protect our rights.
These terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-law rules. Any dispute that isn't settled will be decided by the state or federal courts for Sheridan County, Wyoming, and we both agree to their jurisdiction. There's no arbitration requirement.
25. If you're a consumer in the EU or UK
Our services are designed for businesses. If you hire us as an individual consumer living in the European Union or the United Kingdom, for example as a freelancer acting outside your trade, nothing in these terms takes away the protections the law of your home country gives you and that can't be excluded by contract. That includes your right to bring a claim in your local courts and the 14-day withdrawal right described in our Refund & Cancellation Policy.
26. The rest
These terms, plus any SOW, item page, order and DPA, are the whole agreement between us about the work. If a court finds part of these terms unenforceable, the rest still applies. Neither of us may transfer the agreement without the other's consent, except that we may transfer it to a business that takes over ours. We're an independent contractor, not your employee or agent. If we don't enforce a right straight away, we haven't given it up.
